By engaging our services, you agree to these Terms.<\/p>\n<!-- \/wp:paragraph --><!-- wp:heading -->\n<h2 id=\"h-1-services-provided\" class=\"wp-block-heading\"><strong>1. Services Provided<\/strong><\/h2>\n<!-- \/wp:heading --><!-- wp:paragraph -->\n<p>ScaleX provides business advisory, compliance assistance, filing agent services, and other related services. All advice is <strong>non-decisional<\/strong> in nature; final decisions and responsibilities remain solely with the Client.<\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p>Our services include, but are not limited to:<\/p>\n<!-- \/wp:paragraph --><!-- wp:list -->\n<ul class=\"wp-block-list\"><!-- wp:list-item -->\n<li>Company secretarial support<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Regulatory compliance assistance<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Filing services with ACRA and other authorities<\/li>\n<!-- \/wp:list-item --><\/ul>\n<!-- \/wp:list --><!-- wp:heading -->\n<h2 id=\"h-2-advance-payment-amp-fees\" class=\"wp-block-heading\"><strong>2. Advance Payment &amp; Fees<\/strong><\/h2>\n<!-- \/wp:heading --><!-- wp:list -->\n<ul class=\"wp-block-list\"><!-- wp:list-item -->\n<li>All services are rendered <strong>only upon advance payment<\/strong>.<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Fee structures are communicated upfront and are subject to change with notice.<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Delay or failure to pay agreed fees constitutes <strong>non-compliance<\/strong>, and ScaleX reserves the right to <strong>delay or deny service<\/strong>.<\/li>\n<!-- \/wp:list-item --><\/ul>\n<!-- \/wp:list --><!-- wp:heading -->\n<h2 id=\"h-3-right-to-deny-or-terminate-service\" class=\"wp-block-heading\"><strong>3. Right to Deny or Terminate Service<\/strong><\/h2>\n<!-- \/wp:heading --><!-- wp:paragraph -->\n<p>ScaleX reserves the right to <strong>deny or terminate any service<\/strong>, without notice, under the following conditions:<\/p>\n<!-- \/wp:paragraph --><!-- wp:list -->\n<ul class=\"wp-block-list\"><!-- wp:list-item -->\n<li>Conflict of interest (internal or external)<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Delay or refusal to pay agreed fees<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Failure to disclose material information<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Failure of KYC (Know Your Customer) processes (internal or external)<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Any director, shareholder, or officer of the Client is <strong>found to be involved in fraud, banned, or blacklisted<\/strong> by any compliance\/regulatory body in any jurisdiction.<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Abuse, harassment, or inappropriate conduct towards ScaleX staff or representatives.<\/li>\n<!-- \/wp:list-item --><\/ul>\n<!-- \/wp:list --><!-- wp:paragraph -->\n<p><strong>4. Demand for Full Disclosure<\/strong><\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p>ScaleX, acting as an internal compliance mechanism, may demand <strong>full disclosure of information<\/strong> in the following scenarios:<\/p>\n<!-- \/wp:paragraph --><!-- wp:list -->\n<ul class=\"wp-block-list\"><!-- wp:list-item -->\n<li>Internal audit authorised by the Client\u2019s board of directors<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Detection or suspicion of fraud by any compliance officer, nominee director, or regulatory body<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Potential breach of FATF, MAS, or other applicable regulatory guidelines<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>For the purpose of compliance with <strong>laws and regulations of all jurisdictions<\/strong> the Client operates in.<\/li>\n<!-- \/wp:list-item --><\/ul>\n<!-- \/wp:list --><!-- wp:paragraph -->\n<p>Failure to provide necessary disclosures may result in <strong>immediate termination of services<\/strong>.<\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p><strong>5. Confidentiality<\/strong><\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p>ScaleX will maintain confidentiality of all information disclosed by the Client unless:<\/p>\n<!-- \/wp:paragraph --><!-- wp:list -->\n<ul class=\"wp-block-list\"><!-- wp:list-item -->\n<li>Disclosure is required by law or regulatory authority.<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Client consents to such disclosure.<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Disclosure is necessary for the protection of ScaleX\u2019s rights or in the event of dispute resolution.<\/li>\n<!-- \/wp:list-item --><\/ul>\n<!-- \/wp:list --><!-- wp:paragraph -->\n<p><strong>6. Force Majeure<\/strong><\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p>ScaleX shall not be liable for any failure or delay in performance due to <strong>force majeure events<\/strong>, including but not limited to natural disasters, acts of God, war, terrorism, labor strikes, pandemics, or governmental restrictions.<\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p><strong>7. Limitation of Liability<\/strong><\/p>\n<!-- \/wp:paragraph --><!-- wp:list -->\n<ul class=\"wp-block-list\"><!-- wp:list-item -->\n<li>ScaleX\u2019s role is advisory and administrative; <strong>all liabilities remain with the Client<\/strong>.<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>ScaleX shall not be liable for:<!-- wp:list -->\n<ul class=\"wp-block-list\"><!-- wp:list-item -->\n<li>Any acts, omissions, or decisions made by the Client or its directors\/shareholders.<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Penalties, disputes, refunds, or losses incurred by the Client.<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Non-compliance resulting from Client\u2019s failure to act or disclose required information.<\/li>\n<!-- \/wp:list-item --><\/ul>\n<!-- \/wp:list --><\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>Client assumes <strong>full liability for compliance<\/strong> in all jurisdictions where it operates.<\/li>\n<!-- \/wp:list-item --><\/ul>\n<!-- \/wp:list --><!-- wp:paragraph -->\n<p><strong>8. Protection of Employees<\/strong><\/p>\n<!-- \/wp:paragraph --><!-- wp:list -->\n<ul class=\"wp-block-list\"><!-- wp:list-item -->\n<li>Verbal abuse, threats, or inappropriate conduct towards ScaleX employees, whether via phone, in person, or written communication, will not be tolerated.<\/li>\n<!-- \/wp:list-item --><!-- wp:list-item -->\n<li>ScaleX reserves the right to <strong>terminate all services<\/strong> immediately in case of such behavior, and may report such incidents to relevant authorities.<\/li>\n<!-- \/wp:list-item --><\/ul>\n<!-- \/wp:list --><!-- wp:paragraph -->\n<p><strong>9. Governing Law<\/strong><\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p>These Terms shall be governed by the laws of <strong>India<\/strong>. Any disputes shall be subject to the exclusive jurisdiction of Bengaluru courts.<\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p><strong>10. Amendments<\/strong><\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p>ScaleX reserves the right to <strong>amend these Terms<\/strong> at any time. Continued use of our services following any amendment constitutes acceptance of the revised Terms.<\/p>\n<!-- \/wp:paragraph --><!-- wp:paragraph -->\n<p><strong>11.
