4. Services in Singapore & UAE

These services are supplementary to our India offerings.

4.1 Singapore

We directly provide:

4.2 United Arab Emirates

We assist with:

Visa processes, audits, and minor ancillary items may be handled through partners.


5. Outsourced / Partner Services – No Liability

Only the following may be outsourced to independent third-party partners:

  • Visa applications (India, Singapore, UAE)

  • Audit services (Singapore & UAE)

  • Specific ancillary tasks (notarization, attestation, translation, etc.)

Scalex Business Private Limited bears no liability for:

  • Delays, errors, or omissions by partners

  • Outcomes or accuracy of partner services

  • Government rejections or compliance penalties

  • Any partner-driven timelines or failures

Clients must resolve disputes directly with the partner unless otherwise agreed.


6. Engagement Letters

For customized or specialized services, the engagement letter governs:

  • Deliverables

  • Scope and limitations

  • Responsibilities

  • Timelines

  • Pricing

  • Partner involvement

If inconsistencies arise, the engagement letter prevails for that service.


7. Client Responsibilities

Clients agree to:

7.1 Provide Accurate Information

Submit complete, precise, and timely documents and details.

7.2 Maintain Legal Compliance

Comply with applicable regulations, including:

  • Companies Act

  • MCA/ROC guidelines

  • RBI/FEMA rules

  • GST and Income Tax regulations

  • SEBI and other regulatory authorities

Penalties or consequences arising from client delays, omissions, or non-compliance are borne solely by the client.

7.3 Acknowledge Government Discretion

Approvals (incorporations, licenses, filings, visas, etc.) depend solely on government authorities.

7.4 Cooperate Fully

Provide timely responses, documentation, approvals, and payments.

7.5 Respect Intellectual Property

Refrain from copying, sharing, modifying, or commercially using Company frameworks, templates, or advisory materials.

7.6 Take Independent Decisions

Business, financial, or operational decisions made based on our advisory are at the client’s own risk.


8. Payments & Refunds

8.1 Payments

Payments follow:

  • The retainer/proposal sent to the client, or

  • Subscription terms listed on the Website

Government fees and partner charges may be billed separately.

8.2 Refunds

Refunds apply only to the unused portion of prepaid fees.
Completed work, used hours, partner charges, and statutory payments are non-refundable.
Refunds may be issued solely at the Company’s discretion.


9. No Guarantees & Limitation of Liability

Scalex Business Private Limited does not guarantee:

  • Regulatory approvals or processing timelines

  • Licensing, visa, or compliance outcomes

  • Market-entry success or business performance

  • Technology, fintech, crypto, or blockchain regulatory outcomes

  • Accuracy or stability of regulatory positions

  • Partner performance

9.1 Liability Cap

Our maximum liability is limited strictly to the fees paid for the specific service under dispute.

9.2 Exclusion of Indirect Damages

We are not liable for:

  • Actions or failures of partners

10. Indemnification

Clients shall indemnify and hold harmless Scalex Business Private Limited, its directors, employees, and professionals from any claims, losses, penalties, or liabilities arising from:

  • Client non-compliance with laws

  • Incorrect or incomplete documentation

  • Partner-related issues

  • Regulatory penalties resulting from client conduct

  • Misuse of Company materials

  • Decisions taken based on advisory content


11. Intellectual Property

All templates, frameworks, advisory materials, compliance structures, and documentation provided by Scalex Business Private Limited are proprietary.
Unauthorized reproduction, modification, distribution, or commercial use is strictly prohibited.


12. Amendments

13. Governing Law & Jurisdiction

These Terms are governed exclusively by the laws of India.

All disputes shall be subject exclusively to the courts of Bengaluru, Karnataka, India, regardless of:

  • Client location

  • Where services were delivered

  • Whether services involved external partners
